1. MANAGEMENT INCENTIVE PLANS THAT TIE COMPENSATION DIRECTLY TO ACHIEVEMENT OF QUANTIFIABLE FINANCIAL RESULTS ARE AUTHORIZED AS OUTLINED IN REFERENCES. IN ESTABLISHING SUCH PLANS, CLEARLY ESTABLISHED QUANTIFIABLE PERFORMANCE GOALS MUST BE DEVELOPED IN ADDITION TO THE STANDARDS OF PERFORMANCE ASSOCIATED WIT THE PERFORMANCE EVALUATION PROGRAM INCLUDING SUPERVISORY RESPONSIBILITIES. ONLY THOSE MANAGERS WHO HAVE COMPLETE AUTHORITY AND RESPONSIBILITY FOR A REVENUE GENERATING CATEGORY C ACTIVITY, CAN BE INCLUDED. A CASH INCENTIVE LIMITATION OF $25,000 IN 12-MONTH PERIOD IS AUTHORIZED FOR THESE MANAGERS.

2. TO MAINTAIN ACCOUNTABILITY AND THE INTEGRITY OF THE PROGRAM, MACOM COMMANDERS MUST INSURE THAT INDIVIDUAL PERFORMANCE GOALS ARE PROPERLY ESTABLISHED AND TRULY REWARD ONLY POSITIVE RESULTS.

3. THE EXISTING LIMITATIONON CASH AWARDS OF A MAXIMUM OF 15 PERCENT OF BASIC PAY (REF. A., PARA 9-8) WILL CONTINUE TO BE APPLIED TO ALL OTHER EMPLOYEES
